Terms and Conditions
1. About these terms
These Terms and Conditions apply to your use of the Inooo Technologies website and to the software development, web, hosting-related and digital marketing services we provide. In these terms, “Inooo Technologies”, “we”, “us” and “our” mean Inooo Technologies, based in Nairobi, Kenya, and “you” and “your” mean the person or organisation using our website or ordering our services.
By using this website, or by accepting a quotation or signing an agreement with us, you accept these terms. If you do not agree with them, please do not use the website or order our services.
2. Enquiries, quotations and agreements
Submitting a quote request or contact form is an enquiry only. It does not create a contract, and we are not obliged to accept it.
A contract for services exists only when you accept our written quotation, proposal or statement of work, or sign a separate agreement with us. The scope, deliverables, timeline and price in that document take priority over these terms if the two conflict.
Quotations are valid for the period stated in them. Work outside the agreed scope is a change request and is priced separately.
3. Fees and payment
Fees, payment milestones and due dates are set out in your quotation or agreement. Unless stated otherwise, prices are quoted in Kenya Shillings and exclude applicable taxes, third-party licences, domain names, hosting, SMS or email credits, and payment gateway charges.
- You agree to pay invoices by the due date, using the payment methods we list on the invoice, which may include M-Pesa, bank transfer or other agreed methods.
- We may pause work, or withhold delivery or access to completed work, while an invoice is overdue.
- Payments already made for work performed are not refundable unless the agreement says so or the law requires it.
4. Online payments
Where our website or a system we build takes payments, they are processed by third-party providers such as Safaricom M-Pesa. Those providers have their own terms, fees and availability, and we are not responsible for their services. We do not see or store your M-Pesa PIN or card security codes.
A payment is treated as confirmed only when the payment provider confirms it to us. Delays or failures on the provider’s side can affect when an order, enrolment or download is released.
5. Your responsibilities
To deliver on time, we need your cooperation. You agree to:
- give us accurate information, content, images, logos and access (for example hosting or domain access) when we ask for them;
- review and approve designs, features and deliveries within a reasonable time;
- make sure you have the right to use all content you supply, and that it does not infringe anyone’s rights or break the law; and
- keep your passwords and access credentials secure, and tell us promptly if you suspect they have been misused.
Delays caused by late feedback, missing content or unavailable access may move the delivery dates.
6. Intellectual property
Once you have paid in full, you own the custom code, designs and content we create specifically for you under the agreement, unless the agreement says otherwise.
We keep ownership of our pre-existing tools, code libraries, templates, frameworks and know-how, and we grant you a non-exclusive licence to use them as part of your delivered system. Third-party and open-source components stay under their own licences, which continue to apply.
Unless you ask us not to in writing, we may describe the project and show non-confidential screenshots in our portfolio and marketing. We will not publish your confidential information or your customers’ data.
7. Confidentiality
Each of us will keep the other’s non-public business and technical information confidential, use it only for the project, and not disclose it except to staff or contractors who need it and are bound to the same duty, or where the law requires disclosure.
8. Delivery, acceptance and support
We provide our services with reasonable skill and care. Software can contain faults, and we do not promise that a system will be completely error-free or uninterrupted.
When we deliver work, you should test it and tell us in writing about any material defects within the acceptance period stated in the agreement, or, if none is stated, within a reasonable time. We will correct defects that mean the work does not meet the agreed scope. Ongoing maintenance, hosting management, new features and support after launch are separate services unless the agreement includes them.
9. Third-party services and hosting
Our work often depends on services we do not control, such as hosting providers, domain registrars, payment gateways, SMS and email providers, maps and analytics. Their pricing, availability and terms can change, and we are not liable for outages or changes made by them. You are responsible for any accounts you hold with those providers unless we agree to manage them for you.
10. Limitation of liability
To the fullest extent permitted by the laws of Kenya, we are not liable for indirect or consequential loss, including loss of profit, revenue, data, business or goodwill, arising from our website or services.
Our total liability to you for any claim connected with a service is limited to the fees you paid us for that service. Nothing in these terms limits liability that cannot be limited by law.
11. Personal data
We handle personal data in line with the Data Protection Act, 2019 of Kenya. How we collect and use it is explained in our Privacy Policy.
If we process your customers’ personal data while building or operating a system for you, you remain responsible for having a lawful basis to collect that data, and we will process it only to provide the agreed service and as you instruct.
12. Using this website
You agree not to misuse the website. In particular, you must not try to gain unauthorised access to it or to our systems, introduce malicious code, overload or interfere with it, or scrape it in a way that disrupts our service.
The website’s text, design, logos and other content belong to us or our licensors and may not be copied or reused without our written permission, except for personal, non-commercial use. We try to keep the information accurate and up to date but do not guarantee it is complete. Links to other websites are provided for convenience, and we are not responsible for their content.
13. Suspension and termination
Either of us may end an agreement by written notice if the other party seriously breaches it and does not fix the breach within a reasonable period after being told about it. We may also suspend or end your access to our website or systems if you misuse them.
If an agreement ends, you must pay for work completed up to the date of termination. Sections that by their nature should continue, such as payment, intellectual property, confidentiality and liability, stay in force.
14. Governing law and disputes
These terms and any agreement with us are governed by the laws of Kenya. We will first try to resolve any dispute through good-faith discussion. If that does not work, the courts of Kenya have jurisdiction.
15. Changes to these terms
We may update these terms from time to time. The updated version applies from the date it is published on this page, and the date at the bottom shows when it was last changed. Work already agreed in writing continues under the terms in force when it was agreed, unless both of us agree otherwise.
16. Contact
If you have a question about these terms, please contact us.
